Terms of Service

1. Who we are

TickerCheck (“we”, “us”, the “Service”) is operated by M Morton, a sole trader, trading from Suite 1007, 22 Notting Hill Gate, London W11 3JE, United Kingdom. You can contact us at support@tickercheck.app.

By subscribing to or using the Service you agree to these terms. If you do not agree to them, do not use the Service.

2. What TickerCheck is, and what it is not

TickerCheck applies a fixed scoring framework to publicly listed companies. It combines figures taken directly from regulatory filings with research carried out by a large language model, and returns a score out of 100 together with written findings.

TickerCheck does not provide financial, investment, tax or legal advice, and nothing it produces is a personal recommendation. We are not authorised or regulated by the Financial Conduct Authority. Scores are not buy or sell signals. A high score is not an endorsement and a low score does not preclude a sound investment.

Output is a reading against one framework, not a judgement about whether any security is suitable for you. Your circumstances, objectives and risk tolerance are not known to us and are not considered. Any decision you take remains entirely your own, and you should carry out your own research and seek advice from a suitably qualified professional before investing.

3. Accuracy, and the limits of it

Some figures are computed directly from official sources: insider dealing from SEC Form 4 filings, share count growth from SEC XBRL data, short sale volume from FINRA, disclosed short positions from the FCA, and exchange rates from European Central Bank reference rates. These are described in the Service as verified because they come from the filings themselves rather than from a model.

Everything else is researched, not verified. Market size, competitive position, margins, growth, valuation, positioning and narrative assessments are produced by a language model drawing on publicly available information. Language models can be wrong, can be out of date, and can state incorrect things confidently.

We give no warranty that any output is accurate, complete, current or fit for any purpose. Markets move continuously and any analysis is a snapshot of the moment it was produced.

4. Your Anthropic API key and the costs you carry

The Service requires you to supply your own Anthropic API key. You are responsible for obtaining it, for keeping it secure, and for all charges Anthropic bills to your account.

Those charges are separate from, and additional to, your TickerCheck subscription. An average analysis costs roughly $0.40 to $0.50 in Anthropic usage, but we do not control and cannot guarantee those costs. You can set spending limits in your Anthropic account and we recommend you do.

Your use of Anthropic's services is governed by your agreement with Anthropic, not by these terms.

5. Subscription, payment and renewal

We may change the price. If we do, we will give you at least 30 days notice by email before it applies to your subscription, and you may cancel before it takes effect.

6. Your right to cancel (consumers in the UK and EU)

If you are a consumer, you normally have 14 days from the start of your subscription to cancel and receive a refund.

Because the Service is made available to you immediately, you are asked to agree at checkout that supply begins straight away and that you therefore lose that 14 day cancellation right once you have used the Service. If you have not used the Service, you may cancel within 14 days for a full refund by emailing support@tickercheck.app.

Nothing in these terms affects your statutory rights.

7. Refunds

Outside the cancellation right above, subscriptions are non refundable, including for partial months. If something has gone genuinely wrong, contact us and we will deal with it fairly.

8. Acceptable use

You may use the Service for your own research. You must not:

9. Intellectual property

The Service, including its scoring framework, prompts, interface and branding, remains our property. Your subscription grants you a personal, non transferable right to use it while it is active. It grants no licence to the framework itself.

Output generated for you is yours to use for your own research and decisions.

10. Availability

We aim to keep the Service available but do not guarantee uninterrupted access. It depends on third parties including Anthropic, Stripe, Vercel and the regulators whose data we read, any of which may fail or change. We may modify or discontinue features. If we discontinue the Service entirely we will give reasonable notice and refund any period paid for but not delivered.

11. Liability

Nothing here excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Subject to that, we are not liable for any investment loss, trading loss, lost profit or lost opportunity arising from your use of the Service or reliance on its output, nor for Anthropic charges incurred on your account.

Our total liability to you in any 12 month period is limited to the subscription fees you paid us in that period.

12. Ending your access

You may stop at any time by cancelling. We may end your access if you breach these terms, if payment fails, or if we cease to offer the Service.

13. Changes to these terms

We may update these terms. Material changes will be notified by email at least 30 days in advance. If you continue to use the Service after they take effect, you accept them.

14. Governing law

These terms are governed by the laws of England and Wales, and disputes fall to the courts of England and Wales. If you are a consumer resident elsewhere in the UK or EU, you keep the protection of the mandatory laws of your own country and may bring proceedings there.
